Bio

Stuart is Counsel within the Corporate department in the British Virgin Islands.

His practice areas include corporate restructuring, mergers and acquisitions, investment funds and services, data protection, corporate finance and general corporate and commercial matters.

Stuart has broad corporate law experience including advising on a range of cross border transactions, joint ventures, mergers and acquisitions, disposals, corporate finance transactions and restructurings in the energy, technology, hospitality and marine sectors in addition to providing general corporate law advice. Stuart has also acted for large multi-national corporations, listed entities, management teams and a number of investors including pension funds in relation to their investment in to global investment funds.

Prior to joining Appleby, Stuart was an associate in the Corporate team of Clyde & Co LLP. Stuart trained at Charles Russell LLP (now Charles Russell Speechlys LLP).

Work Highlights

Some recent examples of Stuart’s work include:

    • acting for NYSE listed US fintech company Shift4 (NYSE: FOUR) in connection with its acquisition of Israeli online merchant acquiring bank and payment service provider Finaro (formerly Credorax) in a cash and share deal worth at least US$575 million.
    • advising a private equity firm in respect of the regulatory aspects of the purchase and subsequent sale of a global legal services provider.
    • acting for Joyfa Inc, a digital fashion entity which has developed an NFT-powered photorealistic digital fashion ecosystem, in relation to the sale of its native ERC-20 standard compliant Joyfa token.
    • acting for RYKI Inc. in respect of the establishment, constitutional documentation, offering documentation and recognition as an open-ended approved fund of RYKI DEFI Fund 1 Inc. in respect of its investments in early-stage companies that are active in blockchain technology and the digital assets market.
    • acting for Titan FX in respect of the establishment of Atlantic Markets Limited and the application for an investment business license pursuant to the Securities and Investment Business Act in respect of the brokering of contract for difference investment products to retain investors globally including, amongst other products, CFD’s on cryptocurrency pairs.
    • acting for OANDA Corporation in respect of ongoing corporate and regulatory advice in respect of its leveraged trading services for FX and CFD’s to retail and corporate clients and subsequent proposed business activities.
    • advising an electronics derivatives exchange platform and centralised crypto exchange platform provider in respect of its regulatory requirements.
    • advising a market liquidity provider in respect of its existing liquidity agreements in respect of markets for digital assets across both centralised and decentralised exchanges.
    • acting as general BVI counsel to a large international cryptocurrency exchange.
    • acting as BVI counsel to a crypto entity in relation to the sale of its native tokens for use within its platform, a solution to the use of raw data used by businesses active in algorithmic trading, predictive and cognitive analysis and ready-to-use data businesses.
    • acting as BVI counsel to a subsidiary of a multi-asset, multi-product, global, dedicated prime brokerage and clearing firm in respect of the application for an investment business license in respect of the provision of prime brokerage services in respect of various asset classes including digital assets.
    • acting for a proprietary algorithmic trading engine provider to enable money raised through the sale of native crypto tokens to be invested into trading wallets at the world’s largest crypto exchanges.
    • acting for a US real estate company which provides access to the US real estate market through fractional, tokenised ownership.

Recognition

Stuart is currently recognised as a “Rising Star” in ILFR and a “key lawyer” in the Legal 500’s banking, finance and capital markets, corporate and commercial and regulatory and compliance practice areas.
