Bio

Robert Sit is a Senior Associate in Appleby’s Hong Kong office and a member of the corporate department. He practises in the areas of capital markets (specialising in public offerings of equity and debt), formation and maintenance of funds (both open-ended and closed-ended), mergers and acquisitions, joint venture formation and other commercial and corporate law related matters. He advises clients from a wide spectrum of industries, including financial institutes, multi-national banks, asset management companies and private equity companies. Prior to joining Appleby, he practised corporate and commercial law in an international law firm in Hong Kong.

Robert was admitted as a solicitor in the High Court of Hong Kong (non-practising), a lawyer in the Supreme Court of Western Australia and as a barrister and solicitor of the High Court of New Zealand (non-practising). He is registered with the Bermuda Bar and is a registered foreign lawyer in Hong Kong. He is also members of the Law Society of New South Wales and the Law Society of Hong Kong.

Robert is fluent in English, Cantonese and Mandarin.

  • Advising a China-based international bank on formation of a closed ended fund in the form of a Cayman exempted limited partnership with a focus of equity and equity–linked investments in Fintech related companies;
  • Advising a New York-based private equity company on its establishment of a parallel investment partnership fund structure, worth of US$ 1.2 billion, with a top China-based asset management group;
  • Advising a Hong Kong-based investment manager on formation of an open ended fund in the form of a Cayman Islands segregated portfolio company, worth of US$ 343 million, investing in a range of assets in global markets (including Pan-Asia markets);
  • Advising a China-based investment manager on formation of an open ended fund in the form of a Cayman Islands segregated portfolio company investing in mainly in listed and unlisted securities;
  • Advising Kiddieland International Limited on its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 125 million;
  • Advising M&L Holdings Limited on its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 75 million;
  • Advising Milestone Builder Holdings Limited on its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 104 million;
  • Advising Lai Si Enterprise Holding Limited on its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 115 million;
  • Advising Hailan Holdings Limited in its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 343.5 million;
  • Advising Get Nice Financial Group Limited on its listing on the Main Board of Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 711 million;
  • Advising Astrum Financial Holdings Limited on its listing on the Growth Enterprise Market of Hong Kong Stock Exchange, with gross proceeds of approximately HK$ 120 million;
  • Advising SMIT Holdings Limited on its listing on the Main Board of the Stock Exchange of Hong Kong, with proceeds of approximately HK$ 250 million;
  • Advising Sky Light Holdings Limited on its listing on the Main Board of the Stock Exchange of Hong Kong, with proceeds of approximately HK$ 546.7 million;
  • Advising Hang Seng Bank on its RMB$ 12.73 billion disposal of its shareholding in Industrial Bank Co., Ltd*; and
  • Advising QGC Pty Limited and BG Group on its AU$1.8 billion sale of interests to CNOOC Group in their Queensland joint venture LNG Project*.
