Bio

Yan Zeng is a Legal Manager in the Corporate department of Appleby’s Hong Kong office.

Yan specialises in investment funds, asset management, regulatory and general corporate transactions. In particular Yan’s practice focuses on the structuring, formation and operation of private equity, venture capital, hedge and SFC authorised funds.

Yan is native in Cantonese and Mandarin and is fluent in English.

With her Chinese capability and extensive experience in handling PRC clients, Yan is able to work closely with our wider global team and provide advice on Bermuda, BVI and Cayman Islands law matters in the Asia time zone.

Prior to joining Appleby, Yan worked with King & Wood Mallesons in Hong Kong and Shenzhen, and also Tian Yuan Law Firm in Beijing.

Some of Yan’s major cases include*:

Private Fund:

  • Acted on establishing a HKD 2 billion real estate credit fund structured as a Cayman exempted limited partnership.
  • Advised on the establishment of a venture capital fund sponsored by a prominent investor in the Greater Bay Area with a targeted fund size of HKD 2 billion.
  • Acted for reputable PRC and local insurers in making investments in both private equity funds and hedge funds.

Retail Fund:

  • Assisted in the establishment and authorisation of various types of SFC authorised retail funds, including unit trusts, OFCs and UCITS.

Licensing and Regulatory Compliance:

  • Assisted clients with licensing applications with Hong Kong regulators, including SFC licences, insurance broker licences with HKIA and HKIA approval of special purpose insurers to issue insurance linked securities.
  • Assisted Hong Kong SFC licensed fund managers with ongoing compliance matters as well as comprehensive regulatory issues.

Coverage & Insights

Yan authored “Snapshot of Chinese Land Law: Real Rights, Transfer, and In/Defeasible title” for the Australian Law Journal (2020) 94 ALJ 1 [SSCI] as a sole author. The paper provided a comparative study of Chinese law and Australian law on the effect of Land Registration, the transaction rules and procedures of real rights.
