Bio

Kitty Chan is a Partner and Registered Foreign Lawyer (England & Wales) of Appleby’s Shanghai office and Hong Kong office respectively, and a member of the Corporate Department.

Kitty has 15 years of experience specialising in equity capital markets, mergers and acquisitions, foreign investment, corporate governance and compliance matters, and regulatory enforcements.

Kitty is native in Cantonese and fluent in English and Mandarin. With her Chinese capability, she has extensive experience in handling PRC clients. She is able to work closely with our wider global team and provide advice on Bermuda, BVI and Cayman Islands law matters in the Asia time zone.

Prior to joining Appleby, Kitty worked in Hong Kong at a top PRC law firm, Fangda Partners and several leading international law firms, including Frank, Harris, Shriver & Jacobson and DLA Piper, and was seconded to the legal team of Standard Chartered Bank, Hong Kong.

SPAC/DESPAC:

  • acted as the Cayman and BVI counsel for Hotel101 Global Pte. Ltd. in its proposed de-SPAC business combination with JVSPAC Acquisition Corporation, with a definitive merger agreement signed and announced on 8 April 2024. Upon successful completion of the proposed merger transaction, the combined entity is expected to be publicly listed on NASDAQ under the ticker symbol “HBNB” with an expected equity value of over USD2.3 billion.

BANKING & FINANCE:

  • acted as Cayman counsel to a renowned TMT company as the lender in relation to a USD150,000,000 facility agreement to a Cayman borrower.
  • acted as BVI counsel to the lender on a RMB220,000,000 term loan facility to a BVI borrower, involving numerous share charges, account charges, debentures, assignment deeds and subordination deeds.

IPO:

  • Advised the joint sponsors for one of the largest private lubricant manufacturer in the PRC on the global offering and listing on Main Board of the Hong Kong Stock Exchange
  • Acted as special consultant as to Hong Kong law for Ant Group Co., Ltd. for its potential global offering and listing on Main Board of the Hong Kong Stock Exchange
  • Advised Alibaba’s Cainiao logistics unit in its pre-IPO investment in De Wells Holdings Limited, a provider of cross-border logistics solutions
  • Advised Bank of America Merrill Lynch and CCB International Capital Limited (joint global coordinators, joint lead managers, joint bookrunners and joint sponsors) in the global offering of Cabbeen Fashion Limited (stock code: 2030), a PRC menswear-clothing manufacturer, on the Main Board of the Hong Kong Stock Exchange
  • Advised Bank of America Merrill Lynch (joint global coordinator, sole lead manager, sole bookrunner and sole sponsor) and Deutsche Bank AG, Hong Kong Branch (joint global coordinator) in the global offering of Xinchen China Power Holdings Limited (stock code: 1148), a PRC automotive engine of manufacturer, on the Main Board of the Hong Kong Stock Exchange.
  • Advised Macquarie Bank (sole global coordinator, joint bookrunner, joint lead manager and joint sponsor) and China Merchants Securities (HK) Co., Ltd. (joint bookrunner, joint lead manager and joint sponsor) in the global offering of Shenguan Holdings (Group) Limited (stock code: 829), a PRC sausage casing manufacturing company, on the Main Board of the Hong Kong Stock Exchange
  • Advised Genscript Biotech Corporation (stock code: 1548) on the global offering and listing on Main Board of the Hong Kong Stock Exchange
  • Advised TL Natural Gas Holdings Limited (stock code: 8845) on the public offering and listing on GEM of the Hong Kong Stock Exchange
  • Advised SG Group Holdings Limited (stock code: 8442) on its listing on GEM of the Hong Kong Stock Exchange and its transfer listing from GEM to the Main Board (stock code: 1657) of the Hong Kong Stock Exchange

M&A

  • Represented Boyu Capital in its strategic investment in Jinke Smart Services Group Co., Ltd. (stock code: 9666, a company listed on the Main Board of the Hong Kong Stock Exchange) at the price of around HKD3.734 billion
  • Advised Beijing Salion Foods Co., Ltd on its disposal of the entire share capital to Trustar Capital (formerly known as CITIC Capital Partners), a private equity affiliate of CITIC Capital Holdings Limited. Salion specialises in the R&D, manufacturing and distribution of compound condiment and basic food ingredients
  • Advised Pioneer Global Group Limited on its acquisition of an additional 20% equity interest in InterContinental Hong Kong for the consideration of USD118.4 million
  • Advised G-Resources Group Limited on the acquisition of SFC licensed corporations at the consideration of HKD348 million
  • Advised TL Natural Gas Holdings Limited on the acquisition of the entire share capital of a target company at the consideration of HKD55 million, which shall be satisfied by the allotment and issue of the consideration shares and the issue of the convertible bonds of TL Natural Gas Holdings Limited
  • Advised a potential investor in its strategic investment in Artini Holdings Limited (stock code: 789) which is listed on the Main Board of the Hong Kong Stock Exchange
  • Advised Feiyang International Holdings Group Limited on its acquisition of 60% equity interest in a travel consulting services company for the consideration of RMB 90.72 million
