Bio

Calamus Huang is a member of the Corporate Department at Appleby’s Hong Kong office.

Calamus is a highly regarded offshore legal advisor with a distinguished practice focusing on cross-border mergers & acquisitions (including public M&A, going-private transactions, and De-SPACs) and capital markets transactions (including IPOs on the Hong Kong Stock Exchange and US exchanges, as well as SPAC listings). Her expertise extends to general corporate matters, joint ventures, complex reorganisations, and the establishment and operation of private equity funds.

Calamus is fluent in Mandarin, Cantonese and English.

Prior to joining our firm, Calamus was a Partner at an offshore firm in Shanghai. Before that, she spent 10 years in the China Corporate practice at Sidley Austin and worked in the Hong Kong offices of Latham & Watkins and Linklaters.

Capital Markets & Listings

  • Advised J&T Global Express Limited on its listing on the Main Board of the Hong Kong Stock Exchange, assisting it in successfully completing the filing with the China Securities Regulatory Commission (CSRC) (winner of the 2023 CBLJ Deals of the Year award).
  • Acted as Cayman Islands counsel to KE Holdings Inc. (NYSE: BEKE) in its dual primary listing by introduction on the Main Board of the Hong Kong Stock Exchange (winner of the 2022 CBLJ Deals of the Year award).
  • Acted as Cayman Islands counsel to Julong Holding Limited and Autozi Internet Technology (Global) Ltd. and many other companies on their respective initial public offerings on NASDAQ.

 

Mergers & Acquisitions (Including De-SPACs & Privatisations)

  • Acted as Cayman Islands counsel to Cainiao Smart Logistics Network Limited in its merger with ALI XY Investment Holding Limited, a wholly-owned subsidiary of Alibaba Group Holding Limited (winner of the 2024 CBLJ Deals of the Year award).
  • Represented Grandblue Environment Co., Ltd as Cayman Islands counsel in the going-private transaction of Canvest Environment Protection Company Limited, a company listed on the Hong Kong Stock Exchange by way of a scheme of arrangement.
  • Acted as Cayman Islands counsel to the buyer consortium in the going-private transaction of BlueCity Holdings Limited, China’s largest LGBTQ online platform.
  • Advised on multiple De-SPAC transactions, representing companies such as Global IBO Group Ltd in its merger with Bukit Jalil Acquisition 1 Ltd and its listing on NASDAQ.

Private Equity, Venture Capital & Fund Formation

  • Represented Medtronic in its strategic partnership with Sequoia to form a USD venture fund and an RMB venture fund, both focusing on med tech.
  • Advised CBC Group in setting up their second USD fund focusing on growth and consolidation opportunities in the healthcare sector in Greater China.
  • Acted for numerous leading PE/VC firms (e.g., Sequoia, KKR, OrbiMed, GIC) in their strategic investments across various sectors, including biotechnology, pharmaceuticals, and technology.

Complex Restructurings & Joint Ventures

  • Acted as Cayman Islands counsel to I-Mab in relation to structuring the divestment of its China operations (winner of the 2024 CBLJ Deals of the Year award).
  • Represented Shanghai Pharmaceuticals Holding Co., Ltd. in its formation of a joint venture with Phililab, Inc. through its Delaware subsidiary.
  • Advised a unicorn in the children’s English education industry on a highly complex restructuring and refinancing involving challenging negotiations with several leading financial institutions.

Qualifications & Education

Calamus is a qualified lawyer in the British Virgin Islands, England and Wales, Hong Kong (non-practising), and California (non-practising). She received her law degrees from the University of Cambridge.
