Vincent Chan’s practice areas span corporate and capital markets transactions, with a strong focus on private and public offerings of debt and equity, public and private mergers & acquisitions, private equity and restructuring. His practice also includes banking & asset finance, and private client and trusts.

During 2019, Vincent garnered recognition for a number of significant deals. Vincent advised The Carlyle Group on its subscription of the Series C preference shares issued by Ant International Co., Limited. The deal was named as ‘Private Equity Deal of the Year’ (2019) by Asia Legal Awards, ‘Deal of the Year’ (2019) by China Business Law Journal and ‘Private Equity Deal of the Year’ (2018) by the China Law and Practice Law Awards. Vincent also advised Rajax Holding, a food delivery business operating under the “ele.me” brand, on a reverse triangular merger which culminated in the transfer of all its shares to Ali Panini Group Holdings Limited, an affiliate of Alibaba Group Holdings Limited, by way of Approved Sale. The deal was named “M&A Deal of the Year (Premium)” by ALB China Awards (2019).

On the capital markets side, Vincent has advised on a number of successful listings on the Hong Kong Stock Exchange this year, including Shenwan Hongyuan Group Co., Ltd. in relation to its global offering and listing on the Main Board of the Hong Kong Stock Exchange, which with net proceeds of approximately HKD 9.24 billion, is the largest Hong Kong IPO so far in 2019. The deal was nominated as a finalist for the Equity Market deal of the Year in ALB Hong Kong Law Awards (2019).
