Bio

Karishma Beegoo is a Senior Associate within the Corporate department in Mauritius. She joined Appleby in July 2012 as Law Graduate.

Karishma practises in the areas of corporate and commercial laws and has extensive experience in advising corporations, financial institutions and other entities. She specialises in securities offerings, capital markets, restructuring and insolvency as well as a range of corporate advisory and corporate finance transactions.

Work Highlights

  • advising the Bank of New York Mellon as Trustee, Notes Collateral Agent and Common Collateral Agent in connection with the Greenko Energy Holdings and Greenko Investment Company offering of US$500 million senior notes due 2023 by Greenko Investment Company (Mauritius).
  • advising IRB Infrastructure Developers Limited, formerly IRB Infrastructure Developers Private Limited (IRB), an Indian highway construction company headed by Virendra Dattatraya Mhaiskar in a structured finance deal of US$300 million 5.5 % senior secured notes due 2024 issued by Mauritius-based India Toll Roads and listed on the Singapore Exchange Securities Trading Limited.
  • act as Mauritian counsel to a large financial institution in respect of a US$300 million capital commitment facility to certain Mauritian funds.
  • advising the Carlyle Group Inc. in connection with the issue of dollar bonds to help fund the proposed acquisition of Hexaware.
  • Technologies Ltd and pursuant to which transaction, several Mauritian entities were set up and involved as guarantors to facilitate the bonds issue and financing.
  • advising in a structured deal of US$400 million 4.5% senior secured notes due 2027 issued by Mauritius-based India Clean Energy Holdings, a wholly-owned subsidiary of ReNew Energy Global PLC, established as a special purpose vehicle to make specific investments in USD-denominated notes issued by ReNew Power Private Limited in the form of external commercial borrowings issued to finance operations of renewable energy sector projects in India.
  • advising in a structured finance deal of US$363 million 4.25 % senior secured notes due 2027 issued by Mauritius-based Clean Renewable Power (Mauritius) Pte. Ltd, a wholly owned subsidiary of Hero Future Energies Asia Pte. Limited which is an independent and one of the leading power producers in India with a renewable energy portfolio of more than 2 gigawatts of capacity, including assets under construction. The Notes were listed on the Singapore Exchange Securities Trading Limited.
  • assisting on the restructuring and acquisition of entities within the Savannah Group.
  • act as Mauritian counsel to d.light as a global leader in social transformation by making transformative products available and affordable to low-income families.
  • advising in a structured finance deal of US$450 million 6.25 % senior secured notes due 2025 issued by Mauritius-based Cliffton Limited and listed on the Singapore Exchange Securities Trading Limited. The proceeds of the notes are intended to be used principally to subscribe to green Indian Rupee non-convertible debentures (denominated in rupees) that would be issued by Delhi International Airport Limited, the first airport in India to be awarded the Leadership Energy and Environment Design ‘Gold’ rating.
  • advising Mauritius-based and NASDAQ listed MakeMyTrip Limited on the issue of US$200 million 0.00% convertible senior notes due 2028.
  • advising a large financial institution in designing, structuring and implementing a premium financing programme wherein the financing activities are conducted through trust entities, which provides non-recourse financing to fund premiums payable under a deferred premium annuity contract and requires a lien solely upon the contract as collateral for such financing.
  • act as Seychelles counsel to Allied Gold Corp in respect of its acquisition of 85% interest of Endeavour Mining’s non-core Agbaou Mine in Cote d’lvoire through acquisition of shares of ENDEAVOUR RESOURCES INC, for a consideration of US$80 million with additional benefits via a Net Smelter Return royalty and its equity exposure.
  • advising on the Seychelles environmental deal pursuant to which the Seychelles Government made a commitment to enhance marine conservation and climate adaptation in the first of its kind debt-swap deal agreed between the Government of Seychelles and its Paris Club creditors.
  • act as Seychelles counsel to Standard Chartered Bank in connection with the issuance of a US$15 million Partially Guaranteed Private-Placement Bonds (guaranteed by the International Bank for Reconstruction and Development) to be issued by the Republic of Seychelles in favour of BNY Mellon Corporate Trustee Services Limited acting in its capacity as trustees for the holders of the notes.
  • assigned counsel to The Seychelles Conservation and Climate Adaptation Trust (SeyCCAT); assisted in setting up the SeyCCAT as well as the drafting of the Conservation and Climate Adaptation Trust of Seychelles Act, 2015 establishing the SeyCCAT
  • act as Seychelles counsel in connection with a private bond issuance in the aggregate amount of HK$280 million by Cosmic Leader Holdings Limited, a Seychelles company in favour of Zhongtai Financial Investment Limited.
  • act as Seychelles Counsel to AFREXIM in connection with its various private bond issue transactions.
  • act as lead counsel and advising The Standard Bank of South Africa Limited in relation to an acquisition financing for an aggregate amount of up to US$40 million.
  • advising DBAY Advisors Limited on their £98.7m takeover bid for Harvey Nash plc, an AIM listed company (Jersey).

Qualifications & Education

Karishma graduated from the University of Mauritius with an LLB (Honours). She completed her Vocational Examinations at the Council of Legal Education, Mauritius in October 2015.

She has been a member of the Law Society of Mauritius since March 2017.

Karishma speaks fluent English and French.
