Appleby is delighted to have advised Forge Nano, Inc. on all Cayman Islands law aspects of its US$1.6 billion de-SPAC business combination with Archimedes Tech SPAC Partners II Co., alongside the New York office of Paul, Weiss, Rifkind, Wharton & Garrison LLP as lead counsel.

Following completion of the business combination, the common stock and warrants of Forge Nano Holdings, Inc. (NANO), the combined company, commenced trading on NASDAQ on 22 October 2026, under the ticker symbol “NANO” and “NANOW,” respectively.

As a result of the business combination, investors in NANO hold shares in a publicly listed company whose value is tied to Forge Nano, a leading U.S.-based semiconductor equipment and advanced materials company pioneering Atomic Layer Deposition technology for artificial intelligence-era chip manufacturing and defence battery applications. Further information is available on the Forge Nano website.

The Appleby team was led by Asia Managing Partner David Bulley and Hong Kong Counsel Alejandra Gonzalez Saucedo, with support from Shanghai Associate Mandy Qi and Hong Kong Legal Manager Kelly Tang.

This deal further highlights Appleby’s strength in advising on complex cross‑border M&A, de-SPAC transactions and public company matters, as well as the market‑leading capabilities of its Corporate team.
