VinFast is an electric vehicle maker founded by Vietnam’s richest person. The merger values VinFast at an equity value of USD23 billion and will be the largest US listing by a company from Vietnam.

This high-profile transaction involved a cross-jurisdictional Appleby team which was led by Hong Kong Managing Partner David Bulley with the team including Cayman-based counsel Dean Bennett and Hong Kong associate Alejandra Gonzalez Saucedo.

In 2021, the team acted as Cayman counsel to Black Spade on its USD150 million SPAC IPO on The New York Stock Exchange successfully.

Commenting on the matter David said “This transaction once again highlights our strength in handling high-profile SPAC/de-SPAC transactions and our leading position in this space in Asia with clients continuing to use Appleby due to our market leading cross-jurisdictional M&A teams and expertise.”

The Appleby team continues to be selected as Cayman Islands counsel of choice for high profile SPAC IPOs and business combinations in the US and Hong Kong. Appleby was named second in the league table of the “Top Asia-related SPAC Legal Advisers of 2020-21 – Offshore Firms” by Asia Business Law Journal, with the team being led by HK Managing Partner, David Bulley, who has been named “Cayman Mergers and Acquisitions Lawyer of the Year” for the last four years running.
