Judy Lee is a partner in the Corporate & Commercial department. She has over 18 years' experience practising a broad range of corporate and commercial law with particular expertise in capital markets, corporate finance, mergers and acquisitions, public and private offerings of equity and debt, establishment of investment funds, court-sanctioned privatisation schemes of arrangement as well as banking and finance. Clients include numerous Cayman Islands, Bermuda and British Virgin Islands (BVI) companies, many of which are listed on the Stock Exchange of Hong Kong Limited (HKSE), the Singapore Exchange Limited and various other international stock exchanges.

Judy trained with a City of London law firm and practised corporate finance law with a major law firm in Hong Kong for eight years before joining Appleby in 2000.

She is registered as a foreign lawyer in Hong Kong. She speaks fluent English, Cantonese and Putonghua. She is a member of the Law Societies of England and Wales and Hong Kong.

  • Acted as BVI counsel for Sinochem Offshore Capital Company Limited in relation to its issuance of 1.8% Guaranteed Notes due 2014 in an initial aggregate principal amount of RMB3.5 billion guaranteed by Sinochem Hong Kong (Group) Company Limited. This deal was nominated for Debt Market Deal of the Year in both the ALB HK Law Awards 2011 and the ALB China Law Awards 2011.

 

  • Acting as Cayman Islands and BVI counsel to Meadville Holdings Limited (a Cayman Islands company listed on HKSE) in connection with its business combination with TTM Technologies, Inc. (a company listed on NASDAQ) worth US$521 million. This deal was nominated as a finalist for M&A Deal of the Year in ALB HK Law Awards 2010.

 

  • Acted as Cayman counsel to The Ming An (Holdings) Company Limited (a Cayman Islands company listed on HKSE) in connection with its privatisation by a court sanctioned scheme of arrangement by its major shareholder, another company listed on HKSE. This deal was nominated as a finalist for M&A Deal of the Year in both the ALB HK Law Awards 2010 and the ALB China Law Awards 2010.

 

  • Acted as Cayman Islands and BVI counsel to Lumena Resources Corp. in relation to its US$170 million global offering and listing of its shares on the Hong Kong Stock Exchange (HKSE) in 2009. This transaction received an Honourable Mention in the Asian-Counsel ‘Deals of the Year 2009’ edition for our role in this IPO and was nominated for the Equity Deal of the Year in the IFLR Asia Awards 2010.

 

  • Acted as Cayman Islands and BVI counsel to Champion REIT in relation to its HK$12.9 billion acquisition of two British Virgin Islands companies and one Cayman Islands company and the placement of convertible bonds. This deal won Debt Market Deal of the Year in the ALB HK Law Awards 2009.

 

  • Acted as Bermuda counsel to Bain Capital in relation to its investment in GOME Electrical Appliances Holding Limited (a Bermuda company listed on HKSE) by subscription for US$233 million convertible bonds.

 

  • Acted as BVI counsel for CNPC Golden Autumn Limited (the Issuer), a subsidiary of China National Petroleum Corporation, the largest integrated oil and gas company in the People’s Republic of China, in relation to the issuance of RMB guaranteed bonds due 2013 and 2014 in an aggregate principal amount of RMB2.5 billion and RMB500 million respectively. 

 

  • Acted as BVI counsel for Melco Crown Entertainment Limited, a Cayman Islands company listed on NASDAQ, in relation to the acquisition of a 60 per cent equity interest and shareholder loan in the developer of Macau Studio City, a large- scale integrated gaming, retail and entertainment resort in Macau.

 

  • Acted as Bermuda counsel for Hongguo International Holdings Limited, the second largest mainland retailer in the mid to premium female footwear segment, in relation to its listing on the Main Board of the Hong Kong Stock Exchange, with gross proceeds of approximately HK$1.15 billion, subsequent to its delisting from the Singapore Exchange Securities Trading Limited in May 2010.
