Bio

Shivagar Siva is a Counsel in the Corporate department of Appleby’s Hong Kong office.

Shivagar advises on a wide range of cross-border corporate finance transactions, with expertise in debt capital markets, securitisation and restructuring. He regularly acts on complex and high-value mandates, including market-first and award-winning transactions. Prior to joining Appleby, he worked at top-tier international firms across Australia, the United Kingdom and the Cayman Islands.

Corporate Finance

  • Advised Heritage Advisors on Cayman Islands law in connection with its US$500 million loan facility with Credit Suisse
  • Advised Xero on its US$700 million convertible bond offering
  • Acted for Aristocrat Leisure Limited on its US$500 million term loan B facility

Debt Capital Markets

  • Advised Virgin Australia Holdings Limited on the establishment of its AMTN programme and inaugural issuance of A$150 million 8.25% fixed rate notes (KangaNews Award winner)
  • Led Boral Finance’s debut US$950 million Rule 144A issuance
  • Advised Housing Development Finance Corporation’s Masala bond issuance of synthetic INR 30 billion 7.875% fixed rate notes (First Indian Corporate Masala Bond Issuance)

Project financing

  • Advised AirTrunk on its A$5 billion data center refinancing
  • Advised Howard Smith Wharves on its entry into an A$200 million syndicated facility for the purchase and financing of the Manly wharf precinct
  • Acted for Grok Investments on its A$300 million loan to Impact Investment Group to finance a wind farm project

Securitisation

  • Advised Productivity Media on its US$350 million collateralised film financing loan obligation programme
  • Advised Cerberus and Bluestone on its establishment of an innovative A$2 billion forward flow mortgage portfolio programme with Athena
  • Acted for JP Morgan on the SEK1.4 billion Swedish consumer loan securitisation for Resurs Bank

Restructuring

  • Represented Dexia SA and FMS Wertmanagement on the A$2 billion Reliance Rail rolling stock restructure
  • Acted for Tanarra Capital on its proposed recapitalisation of Tribe Breweries, which entered voluntary administration
