Partner Eliot Simpson, Counsel Vincent Chan and Senior Associate Stuart Jessup will be presenting at the Lex Omnibus seminar entitled ‘Offshore Due Diligence, Mergers and Acquisitions, and Scheme of Arrangement’ on Thursday 25 April 2019. The seminar will discuss some of the issues faced when conducting due diligence on companies incorporated in the Cayman Islands, Bermuda and the British Virgin Islands, as well as the offshore law requirements for a private acquisition, a tender offer and compulsory acquisition/redemption, a merger, and a scheme of arrangement involving one or more of these companies.
Eliot Simpson is Partner and Group Head of the Dispute Resolution department in Hong Kong. He has extensive experience in all areas of commercial litigation and corporate insolvency, including corporate disputes, fund disputes, trust and estate litigation, and corporate bankruptcy, insolvency and restructuring.
Vincent Chan is Counsel in both the Corporate and the Private Client & Trusts departments. He has over 10 years of offshore law experience in the areas of corporate and capital markets (with a strong focus on private and public offerings of debt and equity, public and private mergers & acquisitions, private equity and restructuring), banking & asset finance, as well as trusts & foundations.
Stuart Jessup is a Senior Associate in the Dispute Resolution practice group. He advises clients throughout Asia on the department’s core areas of focus: shareholder, fund and trust disputes and restructuring and insolvency. He is also a member of the firm’s Merger Disputes practice group.
