Vincent Chan is an associate in the Corporate & Commercial department at Appleby. He joined Appleby in 2007 and qualified in Bermuda in 2008.

Vincent specialises in capital markets, restructurings, private and public offerings of debt and equity, mergers & acquisitions, banking and asset finance, structured finance, trusts and corporate advisory in relation to Bermuda, the British Virgin Islands (“BVI”) and the Cayman Islands.

Clients include Bermuda, BVI and Cayman Islands entities, many of which are listed on the Singapore Securities Exchange and Trading Limited (SGX), the Stock Exchange of Hong Kong Limited (SEHK), the Taiwan Stock Exchange (TWSE), the Taiwan’s GreTai Securities Market (GTSM) and Nasdaq, as well as banks, financial institutions and asset management firms. Vincent is registered with the Bermuda Bar and is a member of the Law Society of Hong Kong (registered foreign lawyer). He is fluent in English, Cantonese and Mandarin (Putonghua).

  • TPV Technology Limited, the largest global manufacturer of PC monitors and one of the world’s largest global producers of LCD televisions, on the subscription of 234,583,614 new shares of TPV by Mitsui & Co. Ltd of Japan with a consideration of HK$1.2 billion, and the subsequent HK$11 billion mandatory general offer in cash by Mitsui and China Electronics Corporation. Appleby received the M&A Deal of the Year Award in the ALB HK Law Awards 2010
  • Ku6 Media Co. Ltd. (formerly known as HURRAY! HOLDING CO., LTD), a Cayman company listed on Nasdaq, on an approximately US$46.2 million tender offer given by a wholly-owned subsidiary of Shanda Interactive Entertainment Limited, one of China's leading interactive entertainment media companies and also listed in Nasdaq, to acquire 51% of the total outstanding ordinary shares of Ku6. The transaction was nominated as a finalist for M&A Deal of the Year in ALB China Law Awards 2010
  • Asia Plastic Recycling Holding Limited, the first Cayman-incorporated company in the plastic and chemical industry sector, on its primary listing on the TWSE
  • Wisdom Marine Lines Co., Limited, the first Cayman-incorporated shipping group being one of the largest bulk ship owners in Taiwan, on its primary listing on the TWSE, following registration on the emerging stock market in Taiwan
  • Ma Kuang Healthcare Holding Limited and Lemtech Holdings Co., Limited, the first Cayman-incorporated foreign biotechnology company and the first Cayman-incorporated Taiwan-funded PRC enterprise respectively on their listings on Taiwan’s GTSM, following their respective registrations on the emerging stock market in Taiwan
  • Yuanta Securities Co., Ltd., as main underwriter for Integrated Memory Logic Limited and Airtac International Group, the first Cayman company and the first Cayman-incorporated electric machinery company respectively primary listed on the TWSE
  • Cayman Tung Ling Co., Limited, a Cayman-incorporated incorporated trading and consumers’ goods company, on its registration on the emerging stock market in Taiwan
  • China Huiyuan Juice Group Limited, a Cayman company listed on the SEHK and one of the leading fruit and vegetable juice producers in China, on the issuance of US$150 million 4% Convertible Bonds due 2016
  • Global Sources Ltd., a Bermuda-incorporated leading business-to-business media company listed on Nasdaq, on its tender offer to purchase up to 11,121,000 shares at a price of US$9.00 each
  • COSTIN New Materials Group Limited, one of the fastest growing enterprises in Jinjiang, Fujian Province, the PRC engaging in the research and development, production and sales of non-woven fabrics and chemical fibres, on its global offering, international placing and listing of shares on the SEHK with proceeds of around HK$441.5 million
  • Ciena Enterprises Limited, a BVI company, on its privatization of Asia Environment Holdings Ltd. by way of a voluntary conditional offer for all the issued and paid-up ordinary shares in the capital of Asia Environment Holdings Ltd., a Singapore company originally listed on the Main Board of the SGX, and one of the leading integrated water and wastewater treatment solution providers in the PRC
  • Ramba Energy Limited, on its acquisition of shares of Ellipse Energy Jatirarangon Wahana Limited, a Bermuda company, for a total aggregate purchase consideration of about US$9,723,125. The group owned a 70% participating interest in, and is the operator of, the Technical Assistance Contract covering the Jatirarangon gas producing field located in Cikarang, West Java, Indonesia
  • DMX Technologies Group Limited, a Bermuda company listed on the SGX and a leading information technology enabler, on its allotment and issue of around 588 million new ordinary shares to KDDI Corporation, Japan’s second-largest telecoms operator and the largest foreign carrier in China, with aggregate consideration of around S$188 million
  • Man Wah Holdings Limited, a Bermuda company primarily engaged in the design, manufacture and sale of a broad range of mid to high-end leather sofas, on its delisting from the SGX and the compulsory acquisition of its shares, and subsequent listing on the main board of the SEHK with proceeds of around HK$1.444 billion
