Caroline BARTON

Caroline is an Associate and a member of the Corporate and Commercial Practice Group. Caroline qualified in 2006 and has worked at Appleby since qualification.

Caroline’s practice areas include banking and asset finance, corporate finance and private note and bond offerings. She has extensive experience in aircraft and vessel registration and financing, Islamic financing structures, project finance, corporate acquisition and corporate restructuring.

Caroline is a member of the Cayman Islands Law Society, the Law Society of England and Wales and the Caymanian Bar Association.

Recent highlights include advising:

• Banco Bradesco S.A.’s (through its Grand Cayman Branch) issuance of US$1,100,000,000 5.90% subordinated notes due January 2021 which was reopened with the offer of additional US$500,000,000 5.90% subordinated notes;
• Credit Suisse and Merrill Lynch, Pierce, Fenner and Smith Incorporated as lead representatives in the issuance by (i) UPCB Finance Limited of €500,000,000 7.625% senior secured notes due January 2020, (ii) UPCB Finance II Limited issuance of €750,000,000 6.375% senior secured notes due January 2020 and (iii) UPCB Finance III Limited US$1,000,000,000 6.625% senior secured notes due January 2020;
• AEI Accroven Holdings Ltd. (a wholly owned subsidiary of AEI) in the sale of its 49.5% interest in Accroven Srl which owns and operates a Venezuelan natural gas liquids extraction, fractionation, storage and refrigeration project to PDVSA Gas Ltd., a Venezuelan state owned oil company for US$107,000,000;
• on the structuring of Shariah compliant Islamic syndicated lease finance facilities for Standard Chartered Bank, The Bank of London and the Middle East and Noor Islamic Bank PJSC;
• in relation to corporate and property acquisitions, corporate restructuring, joint ventures and consolidations for one of the Caribbean’s largest electric generation companies;
• the publicly listed power company of the Cayman Islands.
