Anna-Lise Bailey is a senior associate and a member of the Banking and Asset Finance team within the Corporate and Commercial Practice Group. Anna-Lise joined Appleby in 2007. Prior to joining the firm, she worked as a corporate lawyer in the British Virgin Islands, advising a broad client base of financial institutions, trust companies, law firms and investment advisors.

Anna-Lise regularly advises lenders in a wide variety of finance transactions, including corporate finance, private equity finance and ship and aircraft financing. Her practice also extends to capital markets, mergers and acquisitions and corporate restructuring. She has particular experience in connection with the listing of equity and debt securities on the Cayman Islands Stock Exchange. She also assists with licensing and regulatory issues relating to regulated financial institutions in the Cayman Islands.

Representative Work:

  • Advising AKAN Exploration Ltd., an early stage exploration company, in connection with the admission of 20,000,000 ordinary shares to the official list of the Cayman Islands Stock Exchange;
  • Acting as Cayman Islands counsel to major US investment banks and syndicates of lenders in subscription credit facilities for real estate and private equity funds;
  • Acting as Cayman Islands counsel to Grupo Aval Acciones y Valores SA, Columbia's largest financial holding company, on its acquisition of BAC-Credomatic GECF Inc. from U.S. giant conglomerate General Electric Col for US$1.9 billion;
  • Acting as Cayman Islands counsel to JPMorgan Chase Bank, N.A. as lead arranger and administrative agent in connection with a US$5 billion senior secured revolving credit facility offered to Anadarko Petroleum Corporation;
  • Acting as Cayman Islands counsel to Australia Acquisition Corp. in connection with the initial public offering of 6,400,000 of its units on NASDAQ and a private sale of 8,000,000 warrants;
  • Acting as Cayman Islands counsel to a major fund administrator in connection with the acquisition of its fund administration business.

Anna-Lise is a member of the Cayman Islands Law Society and has a thorough working knowledge of French and Spanish.
