Our Telecommunications, Technology and Intellectual Property Team advises corporate entities and individuals on the establishment and operation of telecommunications and technology companies.
Areas covered include:
- Owning and operating fibre optic cables, satellites, satellite constellations and fibre optic cable networks
- Owning and operating telecommunications support facilities
- Owning, licensing and developing intellectual property rights and patents
- Registration of trademarks in Bermuda, the Caribbean, Jersey and several countries in Latin America
All of the above have been undertaken for companies with private and public ownership. We deal with solving the practicalities of simple transactions through to the more difficult, technical issues associated with complex structured products. For instance, we have advised in relation to the structuring and operation of joint venture companies and the creation of companies which, after private equity investment, have subsequently been taken public. We have also advised public companies on the issue of debt and equity in the public markets, and by private offering.
Our advice for public companies has included advising on mergers and acquisitions, companies in financial difficulties and those considering restructurings and refinancings. Together with our Commercial Litigation Team, we have also advised companies in restructurings involving insolvency proceedings in any of our jurisdictions and Chapter 11 proceedings in the US.
In relation to intellectual property and information technology, we advise on:
- Contracts including computer licences, maintenance contracts, bureau services, disaster recovery and service agreements
- Marketing distribution and agency agreements
- Facility management agreements
- Escrow contracts and development agreements
- Data protection, including issues relating to confidentiality and privacy
- Ownership, licensing and development of intellectual property rights
